Terms of Service

1. Acceptance of Agreement

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and ClipShorter (“ClipShorter”, “we”, “us”, or “our”), governing your access to and use of our web application, tools, APIs, and video processing services (collectively, the “Service”).

By creating an account, submitting video content, or purchasing a subscription, you confirm that you are at least 18 years old (or the legal age of majority in your jurisdiction) and possess the legal authority to enter into this agreement. If you do not agree to these Terms, you must not access or use the Service.

2. Intellectual Property & Content Ownership

Limited Processing License: Solely to provide the Service, you grant ClipShorter a temporary, non-exclusive, royalty-free, worldwide license to host, transcode, analyze, and render your uploaded media during the active session and retention window as described in our Privacy Policy.

User Warranties: You represent and warrant that you hold all necessary licenses, copyrights, permissions, and rights for any third-party video, music, or speech uploaded or linked to ClipShorter, and that your content does not violate any third-party intellectual property or privacy rights.

3. Subscription Plans, Credits & Minute Rollovers

ClipShorter provides video processing capacity allocated as monthly minutes under our paid subscription tiers (Starter, Pro Creator, Growth Studio, and Agency):

• Minute Allocation: Each billing cycle replenishes your monthly processing minute allocation according to your selected plan.
• Rollover Policy: Unused processing minutes automatically roll over for up to 90 consecutive days on all active paid plans, after which expired rollover minutes lapse.
• Overage / Upgrades: If you exceed your monthly quota, you may upgrade your tier or purchase supplementary processing packs directly through the dashboard.

4. Billing, Renewals & 1-Click Cancellation

Payment Processing: All subscription fees are billed in advance on a recurring monthly or annual basis via Stripe. By providing payment credentials, you authorize recurring charges until canceled.

1-Click Cancellation: You may cancel your subscription at any time directly through your account dashboard with zero cancellation fees. Upon cancellation, your account will remain active and you will retain access to your plan and accumulated minutes until the conclusion of your current paid billing period.

Refunds: All purchases are governed by our separate Refund Policy, which provides fair-use recourse for verified technical rendering failures and system defects.

5. Prohibited Uses & Community Guidelines

You agree not to use ClipShorter to upload, render, or distribute:

• Content that is defamatory, unlawful, obscene, harassing, hateful, or promotes violence or self-harm.
• Non-consensual deepfakes, unauthorized surveillance recordings, or deceptive identity misrepresentation.
• Content containing malware, viruses, automated scraping scripts, or tools designed to overload or disrupt our infrastructure.
• Media that infringes on any third-party patent, trademark, trade secret, or copyright.

We reserve the right to immediately suspend or terminate accounts that violate these acceptable use standards without prior notice.

6. DMCA & Copyright Infringement Takedown Notice

ClipShorter respects intellectual property rights and adheres to the Digital Millennium Copyright Act (DMCA). If you believe your copyrighted work has been improperly processed or distributed through our Service without authorization, please transmit a formal DMCA Takedown Notice to our Designated Copyright Agent at:

7. Disclaimers of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

Analytical Metrics Disclaimer: Virality Hook Scores, engagement predictions, and reach estimations are algorithmic projections based on statistical models. ClipShorter does not guarantee that any clip will achieve specific view counts, subscriber growth, or monetary earnings on third-party social algorithms.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ClipShorter, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO CLIPSHORTER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware and the United States of America, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms shall be resolved in the state or federal courts located in Delaware.
